Texas Certificate of Formation
Purpose
A Texas Certificate of Formation creates a new Texas LLC or corporation under a conversion or merger plan when that transaction calls for a new Texas filing entity. It is a distinct document submitted with the conversion or merger certificate; it is not a second independent formation filing. A move out of Texas that creates no new Texas entity does not call for this document. Read the Texas Certificate of Formation Standards for the reviewed rules.
Options
The certificate identifies the new entity and its registered agent. LLCs and corporations have different additional contents. A conversion formation also identifies the predecessor; a merger formation identifies the plan of merger. The Texas standards explain these differences. The choices available in Lexomatic’s generated certificate still require output verification.
Standards
The Texas Certificate of Formation Standards describe shared requirements, conversion and merger differences, and LLC and corporation requirements, with sources for each substantive rule.
